1. General Overview and Acceptance of Terms

These Terms of Service (the “Terms,” “Agreement,” or “TOS”) constitute a legally binding agreement between you (“you,” “user,” “customer,” “member,” or “subscriber”) and ProfitSource® (“ProfitSource,” “we,” “us,” or “our”), governing your access to, use of, and purchase of any products, services, subscriptions, digital materials, or related offerings made available through our website, platforms, portals, or communications.

By accessing our website, completing the checkout process, enrolling in any trial, subscription, or membership, downloading digital materials, or otherwise using our services, you expressly acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, our Refund Policy, and any additional disclosures presented at checkout or delivery. All such policies and disclosures are incorporated into these Terms by reference.

If you do not agree to these Terms in their entirety, you must not access or use ProfitSource® in any capacity.

2. Scope and Nature of Services—Digital Products Only

ProfitSource® operates exclusively as a provider of digital informational products and digital-access services. ProfitSource® does not sell, ship, or distribute physical goods.

Our offerings may include, without limitation:

• Downloadable digital files, documents, PDFs, guides, databases, and resources

• Subscription-based or membership-based access to proprietary digital vaults, libraries, or supplier lists

• Periodically updated or refreshed digital content provided during an active subscription term

All products, materials, and access are delivered electronically through secure links, digital portals, dashboards, or email. Delivery is deemed complete when access is granted, regardless of whether the user downloads, views, or uses the materials.

3. Refunds, Disputes, and Chargebacks

All purchases made through ProfitSource® are governed by our Refund Policy, which forms an integral part of these Terms.

Due to the nature of digital products and immediate access delivery, all sales are final and non-refundable, including but not limited to:

• One-time digital purchases

• Subscription enrollments

• Membership fees

• Trial conversions

Once digital access is granted—whether through login credentials, downloads, email delivery, or portal access—you waive any right to a refund, reversal, or credit to the fullest extent permitted by applicable law, regardless of usage, satisfaction, or perceived results.

Any attempt to initiate a chargeback, payment reversal, or dispute with a payment processor or financial institution after access has been delivered may be considered a material breach of these Terms and may result in the immediate suspension or permanent termination of access.

ProfitSource® reserves the right to submit transaction records, delivery confirmations, access logs, timestamps, policy disclosures, and other relevant documentation when responding to a payment dispute.

Nothing in these Terms limits any rights or remedies that cannot legally be waived under applicable law.

4. Third-Party Vendors and Information Disclaimer

ProfitSource® functions solely as an informational intermediary and digital-access provider. We do not operate, manage, own, endorse, or control any third-party suppliers, vendors, manufacturers, or service providers referenced within our materials.

You expressly acknowledge and agree that:

• All vendors are independent third parties.

• Vendor pricing, inventory, quality, shipping, fulfillment, and business practices are beyond our control.

• ProfitSource® makes no representations or warranties regarding supplier performance or reliability.

• Any communication, transaction, or agreement with a supplier occurs solely between you and that supplier.

• ProfitSource® does not guarantee income, profitability, success, or results of any kind.

5. User Information and Account Accuracy

You agree to provide accurate, current, and complete information during checkout, account creation, and any subsequent updates.

ProfitSource® reserves the right, at its sole discretion, to suspend, restrict, or terminate access if the information provided is inaccurate, misleading, fraudulent, incomplete, or otherwise violates these Terms or applicable law.

6. Acceptable Use and Restrictions

You agree that you will not, directly or indirectly:

• Share, resell, sublicense, lease, or redistribute ProfitSource® content

• Copy, scrape, reproduce, or duplicate supplier information

• Allow third parties to access your account or purchased materials

• Use content for unlawful, deceptive, misleading, or fraudulent purposes

• Misrepresent ProfitSource®, its services, or its materials

Any violation of this section may result in the immediate termination of access without notice or refund, subject to applicable law.

7. Intellectual Property Rights

All content, branding, logos, trademarks, digital materials, proprietary databases, compilations, and resources provided by ProfitSource® are owned by ProfitSource® or its applicable licensors and are protected by intellectual-property, copyright, and trademark laws.

Unauthorized use, reproduction, modification, or distribution is strictly prohibited.

8. Disclaimer of Warranties and Limitation of Liability

All services, materials, and digital products are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, to the fullest extent permitted by applicable law.

ProfitSource® expressly disclaims liability for:

• Lost revenue, profits, or business opportunities

• Supplier disputes or third-party failures

• Financial losses or unmet expectations

• Indirect, incidental, consequential, or special damages

Your use of ProfitSource® is at your own risk.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

9. Termination of Access

ProfitSource® reserves the right to suspend or permanently terminate access for reasons including but not limited to:

• Violations of these Terms

• Abuse, misuse, or fraud

• Excessive disputes or chargebacks

Termination does not entitle the user to a refund or compensation except where required by applicable law.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to ProfitSource® in the United States, without regard to conflict-of-law principles.

11. Memberships, Subscriptions, and Recurring Billing

Subscription Enrollment and Trial Terms

Certain ProfitSource® offerings include recurring subscription access. By enrolling, you acknowledge and agree that your participation may include a promotional trial period, after which paid billing automatically begins unless properly canceled.

Subscription enrollment may include, but is not limited to:

• A three-day promotional trial period during which limited or full access may be granted

• Automatic conversion to a paid subscription

• A recurring charge of $19.99 every 30 days or another amount clearly disclosed at checkout

By enrolling, you authorize ProfitSource® to charge the payment method on file automatically on a recurring basis until cancellation.

Failure to cancel before the conclusion of the trial or the beginning of the next billing cycle will result in a charge.

Membership Access and Benefits

While an account remains active and in good standing, members may receive access to:

• Digitally curated supplier resources

• Periodically updated vendor lists

• Exclusive or restricted-access digital content

• Continued access contingent upon an active subscription

All benefits are subject to change, modification, or removal at our discretion.

Cancellation Terms

You may cancel your subscription at any time by:

• Following the cancellation instructions provided after purchase; or

• Contacting us at profitsource7@gmail.com

Cancellation:

• Stops future billing

• Does not refund past or current charges

• Allows access to remain active only until the end of the current billing cycle, unless otherwise disclosed

12. Modifications to These Terms

ProfitSource® reserves the right to modify or update these Terms by posting revised terms on our website. Changes will become effective when posted or on the effective date stated in the updated Terms.

Continued use of ProfitSource® following such changes constitutes acceptance of the revised Terms.
